Una acotación a tu comentario del contrato, que no me di cuenta durante la discusión.

La propuesta no dice que el contrato se tenga que firmar entre a y b o a y el broker y el broker y b.

Lo que dice la propuesta es que “ambas entidades (oferente y receptor), deber presentar copia firmada del documento legal”.

Es decir, si ese documento legal se firma entre otras partes (porque se firma con un broker - si fuera el caso), el texto sigue siendo válido. Se trata solamente de validad que esa subasignación es verdadera y no algún tipo de engaño o fraude.
